Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the services offered by Simple Company ("us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

1. Our Services

Simple Company provides a one-time service package which includes the design and development of a website, setup of an online presence (such as a Google Business Profile), and configuration of company-branded email addresses ("Service"). Our service is delivered for a one-time fee, and upon completion and final payment, ownership of the deliverables is transferred to you, the client ("Client", "you").

2. Client Responsibilities

To ensure a timely and successful project, you agree to:

• Provide all necessary content (text, images, logos) in a timely manner.
• Provide clear feedback and approval during the review stages.
• Make timely payment as per the agreed schedule.

Delays in providing content or feedback may result in a delay in the project completion date.

3. Payment

The total cost for the Service will be outlined in a formal quote provided to you before any work begins. Typically, a deposit is required to commence the project, with the remaining balance due upon completion and before the final handover of the website and all associated assets.

4. Intellectual Property & Ownership

Upon receipt of the final payment, Simple Company transfers all rights and ownership of the final, delivered website design and content to you. You will own the finished product.

We retain the right to use the completed project and any preliminary designs for the purpose of design competitions, future publications on design, educational purposes, and the marketing of our business. Where applicable, we will attribute the work to you.

5. Limitation of Liability

Our liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the service. We are not liable for any indirect, consequential, or incidental damages. After the handover is complete, you are responsible for the ongoing maintenance, security, and hosting of your website, unless a separate maintenance agreement is made.

6. Termination

Either party may terminate the project by providing written notice to the other party. If you terminate the agreement, you agree to pay for all work completed up to the date of termination. If we terminate the agreement, we will issue a refund for any work not yet completed.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

8. Changes To Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms of Service on this page.
